An Eye on the Exit

S.A. has deep experience in technology-centric M&A, which informs all of our work.  We are especially mindful of intellectual property chain of title, risk allocation, strategy alignment and clarity of drafting.  We build strategies, policies and agreements to serve current business objectives, but always with an eye toward eventual due diligence review.

User friendly

S.A. helps set priorities and manage budgets and projects wisely, while reinforcing value-building behavior, like IP protection, privacy-by-design and good contracting practices.  For companies short on internal resources we offer a cost-effective hotline service to help clients avoid some of the pitfalls of self-lawyering that can lead to expensive problems and disruptive remediation down the road.

For patent and trademark prosecution, source-code audits, corporate finance and large M&A transactions, we work closely with highly-specialized firms. We manage multi-disciplinary projects as our clients’ general counsel – to control costs, focus communications, advocate for business objectives and reduce internal distractions.
